Principal Accountabilities:

Report to the CFO and liaise with board members.
Strong knowledge of various Commercial laws, Labor laws and General laws, specifically Companies Act and compliances thereon.
Organize and prepare agendas and papers for board meetings, committees and annual general meetings (AGMs).
Take minutes, draft resolutions, and lodge required forms and annual returns with MCA.
Follow up on actions from meetings.
All filings with the MCA to ensure that timely compliance as per law are carried out.
Responsible for secretarial audit as may be required for group companies and demonstrate compliance with laws and regulations including record keeping.
Compliance with the applicable secretarial standards as laid by the ICSI.
Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval.
Maintain statutory books, including registers of members, directors and secretaries.
Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders.
Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action
Liaise with external regulators and advisers, such as lawyers and auditors.
Monitoring to ensure that the company complies with all applicable laws, rules and regulations in addition to its legal and statutory requirements.
Plan and pay dividends in compliance with the laws companies act, corporate tax laws etc.
Take a role in restructuring, mergers of companies.
Maintain the register of shareholders
Additional Preferred Knowledge in Finance:
Working knowledge in handling areas – Accounts Payable, Account Receivables, Fixed Assets etc.
Preparation of Profitability statements, cost statements, analysis of business performance
Working knowledge on Excise & Sales Tax / VAT/ GST;
Preparing reconcilement statements, ageing reports and similar management reports
Assistance in Year end closing activity and Statutory Audits
Working knowledge in any ERP

Preferred candidate : From Mid-size companies (Turnover in excess of INR 100 crores) and having professional board managing affairs and governance in the company
